THIS AGREEMENT CONTAINS AN ARBITRATION CLAUSE IN SECTION 23 AND CLASS ACTION WAIVER IN SECTION 24 TO RESOLVE ANY DISPUTE RELATED TO THE SWISH FUNDING WEBSITE OR SERVICES PROVIDED BY SWISH FUNDING.


1.        Acceptance of the Terms of Use

These terms of use are entered into by and between you and Cashberry LLC (“Company,” “Cashberry,” we,” or “us”). The following terms and conditions “Terms of Use”), govern your access to and use of CashBerry, including any content, functionality, and small business financing services provided by CashBerry (the “Service”) on or through http://www.cashberry.tv (the “Website”).

Please read the Terms of Use carefully before you start to use the Website. By using the Website or by clicking to accept or agree to the Terms of Use when this option is made available to you, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, found at https://cashberry.tv/privacy-rights, incorporated herein by reference. In addition to these Terms of Use, any request for small business financing will also be subject to our separate Master Participation Document. This document will be provided to you when you submit documentation for any funding application on behalf of your business. If you do not want to agree to these Terms of Use, the Master Participation Document, or the Privacy Policy, you must not access or use the Website or any of our services.

This Website is offered and available to users who are 18 years of age or older and reside in the United States or any of its territories or possessions. By using this Website, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Website.

CashBerry is committed to ensuring fairness and non-discrimination. It is mandatory for all users, including lenders and funders, to comply with our non-discrimination policy and all relevant laws. This extends to all aspects of identity and status, including but not limited to age, race, gender, sexual orientation, religious beliefs, and socio-economic status.


2.        Service Limitations

You understand that our Service has certain restrictions and might not be accessible in your region. CashBerry does not facilitate small business financial services in regions such as Nevada, South Dakota, or North Dakota. It's important to note that small business financial services may be subject to specific state-dependent limitations. By using our services, you agree to abide by the stipulations outlined in our Master Participation Document when accessing and using all small business financing related Services on our Website.


3.        Changes to the Terms of Use and/or Master Participation Agreement

We may revise and update these Terms of Use and/or the Master Participation Agreement from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website thereafter.

Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.


4.        Accessing the Website and Account Security

We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict user access, including registered user access, to some parts of the Website or the entire Website.

You are responsible for both:

  • Making all arrangements necessary for you to have access to the Website.
  • Ensuring that all persons who access the Website through your internet connection are aware of these Terms of Use and comply with them.

The Company name, the terms “Cashberry,” the Company logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors.

You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website:

  • In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
  • To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Content Standards set out in these Terms of Use.
  • To transmit, or procure the sending of, any advertising or promotional, including any "junk mail," "chain letter," "spam," or any other similar solicitation.

You shall immediately notify CashBerry of any suspected or actual unauthorized use of your account or any other breach of security. You understand and acknowledge that CashBerry shall not be liable for any loss or damage arising from your failure to comply with this obligation. You shall not use another user's account or allow any other person to use your account, including sharing your username, password, or other security information with any third party. You agree that you are solely responsible for any and all actions, transactions, and communications conducted through your account on the CashBerry website. CashBerry shall not be responsible for any inaccuracies or discrepancies in your personal or account information or any issues arising from the use of your account. You acknowledge and agree that CashBerry is the owner of the account, and you are granted a limited, non-exclusive right to access and use the account on the website in accordance with these Terms of Use. Our service is accessible via a mobile application (“Mobile App”). To use the Mobile App, you must have a compatible mobile device. We do not guarantee that our Mobile App will be compatible with all mobile devices. We grant you a non-exclusive, non-transferable, revocable license to use the compiled code of the Mobile App on one mobile device owned or leased by you, for your personal use associated with one account.

If the Mobile App is acquired on behalf of the U.S. Government, it is subject to restrictions set forth in these Terms of Use and applicable law. The Mobile App originates in the U.S. and is subject to U.S. export laws and regulations. It may not be exported or re-exported to certain countries or to persons or entities prohibited from receiving exports from the U.S. It may also be subject to the import and export laws of other countries. You agree to comply with all U.S. and foreign laws related to the use of the Mobile App and our service.

If you acquire the Mobile App from an App Store, you acknowledge that these Terms of Use are between you and us, and that the App Store operator has no responsibility for the Mobile App or its content. Your use of the Mobile App must comply with the App Store's Terms of Service.

20.        Limitation on Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COLLECTIVE LIABILITY OF THE COMPANY AND ITS SUBSIDIARIES AND AFFILIATES, AND THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS, TO ANY PARTY (REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE) EXCEED ONE THOUSAND DOLLARS ($1,000,000).


21.        Indemnification

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, including, but not limited to, your User Contributions, any use of the Website's content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Website.


22.        Governing Law

All matters relating to the Website and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule (whether of the State of California or any other jurisdiction).


23.        Arbitration

Any dispute, controversy, or claim arising out of or relating to this Agreement, including its interpretation, violation, invalidity, non-performance, or termination, shall be settled through final and binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules and Procedures, including the Optional Expedited Arbitration Procedures, then in effect (the "JAMS Rules"). The arbitration shall be conducted by a single arbitrator selected in accordance with the JAMS Rules. The place of arbitration shall be in New York County, New York. The language of the arbitration shall be English.

The Federal Arbitration Act (9 U.S.C. §§ 1-16) shall govern the interpretation and enforcement of this arbitration clause, and the arbitrator shall apply applicable federal law and the substantive laws of the State of New York, without regard to its conflict of laws principles. The parties acknowledge and agree that this arbitration clause is a transaction involving interstate commerce, and the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

The arbitrator shall have the authority to grant any relief that a court of competent jurisdiction could award, including injunctive or other equitable relief to prevent the actual or threatened infringement, misappropriation, or violation of any party's copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights.

The prevailing party in any arbitration proceeding shall be entitled to recover its reasonable attorneys' fees and costs incurred in connection with such arbitration. Any award rendered by the arbitrator may be entered as a judgment in any court of competent jurisdiction.

Notwithstanding the foregoing, Company may bring an action in a court of competent jurisdiction to seek injunctive or other equitable relief to prevent the actual or threatened infringement, misappropriation, or violation of Company’s copyrights, trademarks, trade secrets, patents, or other intellectual property or proprietary rights, without first seeking resolution through arbitration.


24.        Class Action Waiver and Jury Trial Waiver

By accepting these Terms of Use, you and CashBerry agree that any legal disputes or claims between you and CashBerry that arise out of or relate to the use of the Website, will be resolved individually, without resort to any form of class, collective, private attorney general or other representative action.

To the fullest extent permitted by applicable law, no arbitration or claim under these Terms of Use shall be joined to any other arbitration or claim, including any arbitration or claim involving any other current or former user of the Website, and no class, collective, private attorney general or other representative arbitration proceedings shall be permitted.


In addition, you understand and agree that by entering into these Terms of Use, you and CashBerry are each waiving the right to a trial by jury or to participate in a class action, collective action, private attorney general action, or any other representative proceeding of any kind.


25.        Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.


26.        Waiver and Severability

No waiver by the Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.


27.        Entire Agreement

The Terms of Use, Master Participation Document (if applicable), and our Privacy Policy constitute the sole and entire agreement between you and CashBerry regarding the Website, our services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website and our services.
